  • Historically profitable and positive EBITDA;
  • Capable and highly committed management team;
  • Attractive market dynamics (large and growing market/fragmented industry)
  • Private and public companies
  • Demonstrated competitive advantage in respective field
  • No primary industries (e.g. mining extraction, etc.) and no start-up/early stage companies

Investment Characteristics

  • Investment size of up to $15 million
  • Investments in the form of straight subordinated debt, subordinated debt with equity enhancement, convertible debentures or equity (preferred and common)
  • Investments are tailored to meet the needs of the specific opportunity
  • Typically minority equity investments of up to 50% ownership. However, we may lead or participate in transactions involving control (greater than 50% ownership) but BMOCC will not hold more than 50% of the voting shares
  • Investment horizon of up to seven years
